MHC 03/20/19
A meeting of the Board of Directors was held on Wednesday 3/20/2019. Present were Chairperson, Marilyn Lewis, Vice -chair Randy Waters, Treasurer, Connie Baynes; Secretary, Lou Amoruso and member, Sean Grammel. Absent were Chairperson, Marilyn Lewis and member Jeffrey Wagner. The meeting was held in the MBC meeting room at Town Hall and called to order by Marilyn at 6:42 PM. Invited guest, Judi Barrett arrived and the meeting was called to order and began with a discussion with her. Judi asked about the history of the MHC and asked what we were doing and what we might be trying to do. She indicated that, based on her experience, the Board needs a plan. We (the Board) need to determine what we want to do, what we wish to promote, and how we are going to do it. We need to understand and clarify our asset base and plan to hold certain reserves to make sure we are able to continue while making expenditures that may be needed. She felt that the Board needs to develop operating expenses in order to accomplish what tasks we choose to perform. Judi gave a bit of her background to the Board. She is basically an Urban Planner who was very involved in the development of chapter 40B. She has helped (and is helping) other groups similar to MHC to develop these types of plans and objectives and to find ways to do what has been decided upon. When Marilyn asked what we need to do to pull together these things and to pull them together she indicated that she has experience in helping groups do that and has used round table type workshops to get people more organized and focused. Basically, Judi urged us (the MHC Board) to decide what we want to do. We asked her whether she would consider working with us if we so chose and indicated that we would have to get an idea of what the cost for such services might be. She departed after an excellent discussion leaving the Board with many things to think about (and do). The meeting then went on with normal activities. Minutes were read for the Jan. 16, 2019 meeting and moved for approval by Marilyn, seconded by Randy, and passed unanimously. Next, the Treasurer's report was provided by Connie who reported our balance was $458,053.91 as of the end of February, 2019. She noted that her data came from Matthew Violette, who is the new Town Accountant. Our CPA, Dave Doucette has been sent the accounting of the past year so that he can file our tax return which covers the calendar year (as opposed to the Town's fiscal year). Marilyn moved and Randy seconded approval of the Treasurer's report. The motion passed unanimously. Marilyn then reported that Mark O'Hagan is working on and may have the information we have asked him to produce by the next meeting NEW BUSINESS Marilyn next called for nominations for the reorganization of the Board. After very short discussion, the candidates were: Randy Waters for Chair, Lou Amoruso for Vice -chair, Sean Grammel for Secretary, and Connie Baynes to return as Treasurer. The slate was accepted and approve unanimously with Marilyn moving and Lou seconding the approval. It was noted that Mr. Doucette will submit the proper form to the state for its web site. Connie pointed out that he typically charges the b Board $500 for the taxes, etc. that he does for us each year. Marilyn suggested that we should consider having Judi work on a workshop or two for us and that we use her help to develop a strategic plan. April 17 is our next scheduled meeting (at 6:30 PM) Lou moved adjournment. Passed unanimously at 7:11 PM. Respectfully submitted, Lou Amoruso N .iJ rn n M nr ©o o --n -n n — W c-5 rn
