Discussions:
The following is a brief summary of discussions:
1. Minutes
Seven sets of minutes had been distributed for review. Attendees requested
more time to review. Will be voted on at next meeting.
2. Effluent Recharge Sites
Bill Ross and Lee Azinheira reported that comments discussed with Reilly's and
their attorney back in August had been addressed and revised wording sent to
them for review. Awaiting response.
Lee Azinheira had a figure made showing where the 100 -ft buffer would be on the
Reilly property and where the agricultural restricted land would be set aside.
Intent is to attach the figure to the agreement with Reilly's so everything is clear.
3. Discussion on Draft of Regional District Agreement (3- 23 -11)
• Main topic of discussion was proposed Norton Payment in Lieu of Taxes r—t
aj
(PILOT). Below is a summary of the discussion items brought forth:
• David Young distributed draft wording for the PILOT and all parties
agreed it captured the terms agreed to at the last meeting.
• Diane McElligott stated another term other than PILOT must be utilized in
the Agreement since she believes it has a specific legal definition in
Massachusetts law that is different than the intended meaning in this
Agreement.
• Several expressed concern for changing name of term as others in
communities may perceive it differently instead of a payment in lieu of
taxes as intended. Need to use a term acceptable to all communities.
• General agreement to leave the name of the term up to the legal counsels
that will conduct the final review of the Agreement once the three
communities finalize their comments.
Comments on Agreement
• Bob Bell provided some comments ahead of the meeting on behalf of
Foxborough representatives. David Young reviewed and incorporated
them and discussed reasons for not incorporated others. All agreed
changes were appropriate.
• Diane McElligott and Fran Yanuskiewicz indicated they had some
concerns over wording in certain Agreement sections (5.3.6, 5.3.10, etc.)
but they hadn't had time to formulate comments or word changes yet.
• Diane McElligott also expressed concern there was insufficient language
to address having Wheaton College transfer their flow over prior to
completion of the expansion. Discussion followed and it was noted that
significant infrastructure was needed for Wheaton to connect and so
schedules may not be that different. Norton needs to have discussions with
Wheaton and report back.
• Norton representatives agreed to formulate all their remaining comments
on the Agreement and send electronically to David Young and other towns
by October 24th so a fruitful discussion could occur on remaining issues at
the next meeting.
4. Schedule to Complete District Agreement
• All parties agreed that in order to stay on the schedule discussed (David Young
distributed another copy to all present) that the Agreement must be reviewed by
legal counsel and final by the end of 2011.
• Schedule calls for District to begin in July 2012; expansion and upgrade design to
start in January 2013; construction start in December 2014; and facility operation
to begin in May 2017.
5. Review Cash Flow Spreadsheets
David Young distributed copies of the updated cash flow that had been emailed to
all representatives earlier. General discussion of the cash flow occurred with
general agreement on factors such as loan payment timelines and project starts
etc. Existing debt service has been added since the previous version.
Diane McElligott indicated that the cash flow was very helpful but that Norton
was in "sticker shock" over the costs. N

a.
• David Young indicated that since each community would have an updated
CWMP and much of the upgrade was for nutrient removal that the District should
apply for zero interest State Revolving Fund loans.
6. Other
• Norton is holding a Special Town Meeting on October 12`h and one proposed
charter change could impact status of the Norton Water and Sewer
Commissioners (change from elected to appointed).
