Discussions:
The following is a brief summary of discussions:
1. Minutes
• Minutes of 10 -3 -11 were approved unanimously (Knapp{McElligott)
• Seven additional sets of minutes had been distributed for review. Attendees
requested more time to review. Will be voted on at next meeting.
• Duane Knapp provided some suggested edits to the Minutes of 7 -7 -11.
2. Effluent Recharge Sites
Bill Ross and Lee Azinheira reported that Reilly's attorney Marc Antine and
Mansfield attorney Lou Ross had been in contact regarding latest word changes to
purchase agreement. Concerns expressed on both sides that process is taking a lot
of time.

• Lee Azinheira recently spoke with a representative of the Nature Conservancy
and provided them with an update regarding proposed acquisition and use of
Reilly property.
• Mansfield representatives will request that Attorney Lou Ross contact Norton
Attorney Joe Cove regarding Reilly's request for tax relief so that appropriate
actions are coordinated.
3. Discussion on Draft of Regional District Agreement (3- 23 -11)
• Diane McElligott, Duane Knapp and Fran Yanuskiewicz requested a meeting
with Lee Azinheira and David Young to verbally review their comments. That
meeting occurred on November 2, 2011. Several comments were word edits,
some are clarifications, some were requests for examples, schedules, tables, etc to
be added and others were just discussion items. These will be incorporated into
the next version for all parties to see and review.
• One item stemming from the above discussion that needs input from all
communities involved Section 5.3.10. The specific issue was that Norton
representatives believe the proposed five (5) percent penalty for a member town
exceeding their flow capacity should be ten (10) percent or higher. Another option
would be to incrementally increase the percentage if the member town continued
to exceed their capacity and perhaps require a sewer hook -up moratorium in that
community at some point versus paying a penalty. Fran Yanuskiewicz indicated
that Norton has this concern since they believe that if a member town exceeds
their flow a 5 percent penalty is not that great. After some discussion, Norton
representatives put forth a motion to revise the 5 percent penalty to 10 percent.
The motion failed on a vote of 2 to 3.
• Norton representatives requested that the Payment in lieu of taxes (PILOT) be
changed to "Annual Payment to Norton" but maintain e the same definition. This
has been discussed in past and generally accepted to leave term to legal review.
However, Norton representatives made a formal motion to revise the name of the
term as noted and it was approved on a 5 to 0 vote.
• The wording regarding "unfunded pension liability" in Section 18.2.1 was
discussed. Mansfield representatives will review and provide a edits necessary to
clarify the meaning.
• Norton still has some concerns over wording for how to allow Wheaton to tie in
early if that comes to fruition. They will propose some wording prior to the next
meeting.
4. Schedule to Complete District Agreement
• All parties agreed that in order to stay on the schedule discussed that the
Agreement must be reviewed by legal counsel and final by the end of 2011.
• IMA Representatives must have a Draft Agreement finalized by end of November
in order to meet that schedule.
5. Other
• David Young indicated an update to the cash flow spreadsheets will be issued
which revises the projected O &M costs. The existing O &M cost split will be used N
till FYI and then switched to reflect the new flow capacity owned by each town
since the expansion will be online at that point.
w
• It was discussed that once each town signs the IMA Agreement it becomes Final
and each community is committed to moving forward. Thus, appropriate steps
should be taken within each town whether it is town meeting endorsement or
other to keep on track for the District to be formed in July 2012.
6. Next Meetings
• Attendees agree to meet November 21, 2011 and to hold open November 28,2011
in case that is needed to meet the above schedules. Meetings are at 6 pm in
Mansfield Town Hall.
