MANSFIELD HOUSING CORPORA . -1
A meeting ot the Board of Directors was held on Wednesday 10/18/2017. P fe Y!P
T TS
Chairperson, Marilyn Lewis; Vice -Chair, Randy Waters: Treasurer, Connie Baynes; Secretary,
Lou Amoruso. The meeting was held in the MBC meeting room at Town Hall and called to
order by Marilyn at 7:04 PM with Randy arriving at 7:08 PM.
Present was guest Jim Lazzara, owner of Grove Building Company which is building a "55 and
over" apartment complex consisting of 12 units at 1w Spring St. He will be providing an
affordable unit as part of the project. Introductions were made.
A discussion ensued where Mr. Lazzara talked about his experience in building projects where
affordable units were involved.
He spoke of how he goes about offering affordable housing, the paperwork and regulations
involved, and of his interest in helping Mansfield by offering affordable units as part of his
projects rather than paying an amount to the town in lieu of building a unit. He also suggested
that it might be possible for MHC or other groups to develop boilerplate paperwork that might
encourage other builders to offer units rather than cash by making it easier for them to file the
necessary documents at less expense. Having boilerplate documents might also increase the
speed and likelihood that such units would be included rather than opted out with cash.
Mr. Lazzara left with the thanks of the MHC board at 7:26 PM
The next agenda item taken up called for corporate authorization for the chairperson, Marilyn
M. Lewis, to purchase the real estate known locally as 3.o Columbine Road from the Town of
Mansfield for $28,040.75. A copy of that authorization is attached to these minutes. Lou
Moved and Randy seconded the authorization. The motion passed unanimously (4-0).
At 7:40 PM, representatives from Old Colony Habitat for Humanity (Habitat) arrived: Joanne
Eckhardt, Tom Lamont, and Douglas Lee. After greetings Marilyn asked them to discuss how
the transfer of the property to Habitat would proceed.
Joanne indicated that the process they expect to follow is as follows:
We (Habitat) sign the variance permit application which will be in their name and they
will draw it up and go through the process for the approval of the variance(s). Then they
(Habitat) would sign the P&S with MHC putting up an agreed upon escrow amount for the
sewerage connection.
Joanne then indicated that Habitat would prefer to have Mr. Trowbridge do the work for the
variance, sewer connection, etc. if possible. Marilyn volunteered to speak with Mr. Trowbridge
about it an inquire about any possible conflict of interest situations that might exist. Joanne
then indicated that she would like the Town to draw up the existing house plan for the variance
application.
Joanne indicated the Habitat would keep MHC appraised of each step and meeting that they
were taking. The MHC board responded its approval of that but the Board wanted to be
involved in all of the meetings with the Town.
Joanne indicated multiple times during our discussions about the sewer connection that they
only want to take ownership of the Columbine property when "everything" is in place.
Marilyn wanted Habitat to understand that MHC is going ahead with this project one way or
another. We hope it will be with Habitat but some of the remarks we were hearing seemed to
show less commitment than we expect. We all agreed (MHC and Habitat) that no one would
start digging until all the details have been worked out The following time line is expected:
:1) Get Variance
2) (may run concurrently with 1):
a) Go through connection agreement process
b) Get Sewer approval
3) Do the project
Marilyn agreed to work on the variance for MHC and Lou agreed to act as liason with Habitat.
Habitat representatives left at 8:30PM.
Routine business was then taken up.
Treasurer, Connie reported that the FY ending June 30, 2017, has been closed but that the only
financials ready for distribution for FY 201.7 is July Lou moved and Marilyn seconded approval
of the Treasurer's report. Passed (4-0)
Lou offered the minutes of July i2 as revised by Connie for approval. Marilyn moved, Randy
seconded — Passed (4-0).
The minutes for June z8 were again tabled since the correct version was not presented.
Under New Business, Connie wanted to make clear the next steps we need to have taken:
3.) Talk to Mike Trowbridge re variance and timing thereof
2) Connect Mike Trowbridge with Tom Lamont
3) Meet with?? about the sewer
We expect Habitat to contact Lou on all that they do and plan to do
Discussion of the HUD form was brought up. It may need to be revised and the Board of
Selectmen have to approve it first.
Attorney Nugent has indicated to us that he cannot close until after the Selectmen's meeting
to approve the HUD form. This is likely to happen no sooner than Nov. 1.
Connie agreed to look into "stuff" we need to do to start working on developing boilerplate
forms for future builders to use.
The next meeting is scheduled for Nov. 1S2017.
Connie moved to adjourn. Motion passed unanimously at 9:o6 PM..
Respectfully submitted:
Louis P. Amoruso
