7:35PM—KEYES ASSOCIATES
Chairman Richard Feeley opened discussion with Keyes representatives to clarify an
ongoing issue of Keyes non-payment to sub consultants working on Mansfield School
Projects. Bob Vogel, Senior Principal stated that Keyes Associates is working to make
payment to their sub consultants for all outstanding invoices. A specific payment plan
was not available.
Outstanding Invoices - Rich Feeley reviewed outstanding invoices submitted by Keyes
sub consultants; Crabtree & McGrath, Wallace Floyd Associates, Thompson Consultants
Inc., Geisser Engineering, Haller Testing Laboratories and Universal Engineering totaling
close to $200,000.00. Mr. Vogel agreed that payments have been delayed, but suggested
that the Town of Mansfield was also withholding a large payment to Keyes. Mr. Feeley
clarified Mr. Vogel's statement by reviewing status of all Keyes pending invoices. With
the exception of 2 recently received invoices, the Town is waiting for Keyes to revise and
resubmit the pending invoices for approval.
Payment Agreement - David Young requested clarification as to Keyes current payment
agreement with sub consultants. It was stated that the agreement with Keyes is that sub
consultants are to receive payment within 30 days of Keyes getting paid. He urged
Keyes Associates to coordinate submission dates so that turn around times for payments
are minimized.
Wallace Floyd - Jim May stated that their agreement with Keyes Assoc. is that Wallace
Floyd is to be paid withinl0 days of Keyes being paid. Mr. May stated that the
agreement to have 2 party checks between Wallace Floyd and Keyes and copies of
invoices, are not being met. David Young and Rich Feeley commented that the MBC is
unaware of a 2 party check agreement. David Young recalled that the issue was raised as
a future payment option should it become necessary. The request to issue 2 party checks
has not been presented to the Town for approval. Jim May to forward a signed
agreement between Keyes and Wallace Floyd regarding this issue.
Thompson Consulting Inc. — $116,693.00 owed by Keyes to TCI. TCI has not yet filed
an official law suit against Keyes. A payment agreement was reached between TCI and
Keyes that was reviewed by their respective attorneys. The agreement states that all
future payments to Keyes are to be sent to a 3`d party accountant. 60% of the total
invoice would be given directly to TCI with the remaining funds to be forwarded back to
Keyes. Strong concerns were raised by the MBC regarding Keyes having enough funds to
pay additional consultants working on the Mansfield School Projects. Bob Mangiaratti
requested that Keyes furnish names of attorneys for TCI and Keyes to discuss options.
Town Counsel is to respond with opinion to Committee. Dick Battles stated that he is not
willing to renegotiate this agreement. The MBC and Town Manager objected to
forwarding payments to an unknown 3`d party. It was agreed that the Town would
continue to issue and send all payments to Keyes Associates. David Young suggested
that Keyes keep their financial agreement with TCI internal.
Payment Schedule - John D'Agostino, Town Manager expressed concerns regarding the
seriousness of Keyes financial status. Mr. D'Agostino stated that the Town would be
prepared to pursue legal action for breech of contract if it should become necessary.
Based on further discussion with legal counsel, the following conditions were agreed to
by Keyes Associates:
1. Keyes Associates will clarify all pending Keyes invoices as discussed by the
MBC. Corrected billing to be provided to the MBC within 10 days.
2. Payments will be made to Haller Testing Laboratories and Geisser Engineering
within the next 10 days (approx. week of May 10`h).
3. Payment will be made to Universal Engineering in the amount of $2435.00
within 10 days (approx. week of May 10'h)
4. Payment procedure for all future invoices submitted by Keyes:
• Keyes Associates will provide copies of Keyes invoices to each sub consultant
indicating services that the sub has provided as they are submitted to Town.
• Town of Mansfield will send copies of checks issued to Keyes Associates to
sub consultants identified on invoice being paid.
• Keyes Assoc. will return a copy of all checks issued to sub consultants for
services to the MBC Office.
Town Manager requested that Town Counsel issue a letter to all parties present and all
Keyes sub consultants stating the conditions agreed to.
MANSFIELD HIGH SCHOOL UPDATE
Roof shingles — Jim May commented that Wallace Floyd did not write proprietary
specification for shingles. Mr. May requested clarification from the MBC that the same
shingle used at the Robinson School is required for MHS. MBC clarified that their intent
was only to match color and quality. Mr. May did not foresee any problem matching
color and quality with another manufacturer.

MANSFIELD HIGH SCHOOL UPDATE
Roof shingles — Jim May commented that Wallace Floyd did not write proprietary
specification for shingles. Mr. May requested clarification from the MBC that the same
shingle used at the Robinson School is required for MHS. MBC clarified that their intent
was only to match color and quality. Mr. May did not foresee any problem matching
color and quality with another manufacturer.
Moving furniture — Jim May commented that the owner owns moving furniture. David
Young stated that the Town must be provided with sufficient notice, prior to anticipated
work taking place. Jim Liddick noted that under the contract documents, the Contractor

will issue change directive.
Force Main — Discussion re: replacing sanitary pipe leaving pump and connecting to
street. Since the break originates at MHS, it was suggested that coordination of the repair
fall under the high school project. David Young recommended the pipe be replaced with
with 6" ductile iron pipe. The MBC requested that Wallace Floyd provide construction
change directive from Keyes to replace force main pipe from pump chamber through bus
loop to just short of sidewalk. J.T. Callahan owns new chamber and to the curb.
Estimated cost $16K. Wallace Floyd to confirm class of pipe (minimum class 52 or

refrigeration subs should be requested to provide copies of certification from EPA to the
MBC for all walk in freezers' refrigerant recovery.
