Olivier Kozlowski and William Ross: Town Manager Chairman Aptowitz called the meeting to order. Chairman Aptowitz reminded that this meeting is being broadcast live by Mansfield Cable Access and taped for future broadcast. Mr. Moran read the call for the annual Town Election into the record. Mr. Moran distributed the most recent punch list for the Board's review. Mr. Ross explained that the most pressing issue is the wearing course of asphalt, which is scheduled for Friday, April 18t" and that the remaining items listed cannot be completed until the final wearing course is completed. Mr. Ross felt this could be completed prior to Town Meeting and if it was not the Article would be pulled. He explained there is sufficient money being held that if the developer failed the Town would then use those funds (approximately $70,000) to pay for the final lift. Chairman Aptowitz asked if the Board was to approve this would it be pending sign off by Town Officials (Shaun Burke, Rick Alves and Mike Ahern) to which Mr. Ross reported yes. Chairman Aptowitz questioned what the motion should be as there are punch list items still unresolved and if the Board should sign the plans. The Mr. Ross stated that nothing is final until Town Meeting acts on it. Mr. Moran felt a motion could be made to accept the public way and could post prior to Town Meeting to withdraw if the list is not completed. Mr. Moran also noted that the Board has handled street acceptances numerous times but never to this degree. Motion: To approve the laying out of Camden Lane pending the completion of the checklist and sign all necessary documentation at the acceptance of the motion (Moran/Annino) Discussion: Mr. Annino did not feel comfortable signing the plans and Mr. Dentino agreed. Mr. Kozlowski felt it made logical sense to approve the public way subject to the provision that the Board sign the plans when all items have been completed. Mr. Moran would like to vote. Motion: To approve the laying out of Camden Lane pending the completion of the checklist and sign all necessary documentation at the acceptance of the motion (Moran/Annino) PAILS 2:3 Armin, Dentine, Kozlowski NAY Motion: To approve the acceptance of Camden Lane subject to the completion of the final punch list where the Board will then sign the plans (Kozlowski / Annino) PASSES 4:1 Dentine, NAY To clarify, Chairman Aptowitz stated the layout of the road has been approved subject to getting the sign off from Town Officials. Board Of Selectmen's Meeting April 16, 2014 Page 1 of 15 Mr. Ross explained that William McDermott is donating part of 18 Martha's Way to the Natural Resources Trust. Because the land needs to be sub - divided, as it is one parcel now, there is a $450 permit filing fee for the Planning Department. Both Mr. McDermott and Leonard Flynn, from the NRT, are requesting a waiver of that fee since the land is being donated to a non - profit for conservation purposes. Through discussions with Shaun Burke, Town Planner, Mr. Ross noted there are no out of pocket expenses associated with this fee other than staff time. It was Mr. Ross' opinion to support the waiver. Chairman Aptowitz asked if this has been done in the past to which Mr. Ross noted that in the four years that he has been here this situation has not come up. Mr. Dentino asked why the land would need to be split. Mr. Ross explained that it is due to the deed where it currently only has one and would need to be split. Mr. Dentino asked if the land continued beyond where it is being split to which Mr. Ross was unsure. Mr. McDermott, who was in attendance, explained it is a 15 acre lot where he has been working with Leonard Flynn of the NRT to donate approximately seven plus acres. He noted there is a legality to create this land for the NRT and the expense to engineer it. Mr. McDermott is willing to work with those aspects but would like the fee to be waived. He noted the land is part of the Wading River and he would then develop a one house lot on the remaining acres and is in the permitting process for that as well. Mr. McDermott pointed out the site on GIS for the Board. Chairman Aptowitz inquired as to why Mr. McDermott would not just create the one house lot on the entire property and if the issue is taking the seven acres off the land value for tax purposes to which Mr. McDermott explained the biggest reason is the original owner of the property's intention was to donate some of the land. When Mr. McDermott purchased the land he agreed to follow his original direction to donate some of the land. Mr. Kozlowski noted that at the end of the day, if the Board did not allow the fee waiver, Mr. McDermott could still go through with his plans and donate the seven plus acres and pay the $450 fee. Motion: To waive the fee PASSES 5:0 Present are Russell Barnaby and Bob Palmer, development partners for Chocolate Factory, LLC. Mr. Barnaby noted that he and Mr. Palmer, given the feedback received from their last presentation to the Board, had BKA Architects from Brockton, design a proposed Master Plan of the property per Mr. Annino's request. In reviewing the site's Master Plan Mr. Barnaby spoke to: the parking capacity for the proposed mixed use property (80% residential and 20% commercial /retail including a professional medical building located in the front of the property) could hold approximately 400 — 450 parking spaces, which will utilize most of the property but yet it will still have a functional layout. Mr. Barnaby noted they are looking to have a restaurant, perhaps Italian, as well as a chocolate store. Mr. Palmer referenced a building in the back of the property, which was built in 1942, due to its age it will be kept for historic tax credit purposes but will probably be used for storage or amenities (work -out room, community theatre). Inside the Butler Building (11,000 — 12,000 square feet), metal building built in 1989, and see as industrial/commercial use such as a brewery. Mr. Barnaby Board Of selectmen's Meeting April 16, 2014 Page 2 of 15 felt it was important to note that there is about seven acres of lightly wood land that is currently not being used on the property to which Mr. Ross noted that is the location of the water main easements. Mr. Barnaby also reported that 47 Maple Street is for sale (across from the Oakland Street property, which is about ten acres) and would be an interesting location for an innovation center which are usually located in densely populated areas such as Cambridge or Boston. Mr. Barnaby reported that Chocolate Factory LLC is speaking with two universities about the concept of an innovation center and intend on keeping a casual dialog until the proposed Chocolate Factory LLC project is approved at Town Meeting. Mr. Armin asked about the size of the innovation center to the footprint to which Mr. Palmer noted the footprint is about 20,000 square feet and Mr. Barnaby reported the innovation center would be approximately 30,000- 35,000 square feet over two stories. He also noted that it is important to have feedback from the Town. Mr. Dentino appreciated the presentation and pinpointing the buildings and their potential usages. He felt it clearly showed that the group is looking for the highest and best use. Mr. Barnaby noted that this has been a great learning experience for them as well and thanked the Town Manager's office for their knowledge and assistance. Mr. Moran stated the reality is that this particular building will not be used as industrial use and he is looking at the best possible use of the land and liked the direction that Mr. Barnaby and Mr. Palmer are taking. Mr. Moran referenced the incubation cell concept that are currently being offered in New York (tax freeAen year start-ups in incubator zones near state universities and campuses) and in his business travels is now seeing these advertisements in Memphis. He felt it is a very innovation approach. Mr. Barnaby stated that Mansfield really needs to leverage its location. Mr. Kozlowski asked if the footprint took into account what is of record (water mains, ect.). Mr. Ross explained that according to the Town's GIS, the water main easements are the only utilities that the Town is aware of but it is possible that the southerly most of those two mains may not be active and need to be confirmed. Mr. Ross felt the first objective is to move along with the renovation of the buildings and as time goes on and demand is there look to this other area so that we have time to address it. Chairman Aptowitz again asked about the residential units to which Mr. Barnaby reported 130 units (55 two bedrooms) who also noted an updated fiscal analysis has been submitted. Mr. Barnaby noted that by State law they will have the option not to rent to school aged children (over the age of five years) that will share a bedroom with an adult. Chocolate Factory, LLC also did extensive analysis of the net increase of school aged children for the proposed development, which can be found in the updated fiscal analysis that will be posted on the Town's website. Chairman Aptowitz clarified that this is not a rezoning Article but a reuse Article. Mr. Ross added this Article will only allow for the application for reuse which the Planning Board will then take over and scrutinize. He also explained that there are historic buildings that are worth preserving and maintaining that are landmarks in the community and some that are not but this specific building was particularly mentioned in the Strategic Plan on how to reuse it. Mr. Kozlowski asked if the units are all in rental form or if there were any condos to which Mr. Barnaby explained that the market is strong for rentals and they are hoping to utilize and put this building on the National Register of Historic Places with the Parks Service which requires that for Board Of Selectmen's Meeting April 16, 2014 Page 3 of 15 five years the tax credits are used for rental units. He also noted the apartments will be market rate with the exception of affordable units mandated by the Town. The propose layout of the proposed Chocolate Factory site will be downloaded onto the Town's website. Mr. Barnaby thanked the Finance Committee for their input as well. Steve Schoonveld, Vice Chair of the Finance Committee, thanked Mr. Barnaby and Mr. Palmer for working with the Finance Committee and submitting the updated analysis. Mr. Schoonveld felt it was all positive whether it was 12 students or 20 students entering into the system. He thanked them for their extensive efforts and noted the Finance Committee would be voting on the Article at their meeting on April 17'h. Mr. Schoonveld did note it would be helpful to have a similar analysis completed for Articles 20, The Board began review of Articles I — 19. Present ter this discussion are Jol Finance Director, Scott Feeley and Steve Schoonveld from the Finance Committee. Article 1: Town Budget Mr. Ross noted this is a 0.87% increase over last year's budget. Motion: To approve Article 4, Motion 4 subject to correction noted (Morarr/Kozlowski) Discussion: Mr. Dentino asked if the $50,000 for Capital Outlay was due to the payment system. Mr. Ross explained that the Mr. Dentino is referring to is in 2014 and was due to the BETA study. Mr. Dentino stated the BETA study went beyond the limits of the parking enterprise account to which Mr. Ross answered yes, from the standpoint of moving in and out of that location — an extension of parking on that site. Mr. Stanbrook stated each year is its own and must be reconciled within that year. Mr. Dentino inquired as to the Parking/Parking Enterprise items to which Mr. Ross stated that was a correction where the $50,000 should have been taken out of Retained Earning at the beginning of the year but it did not happen. He stated the DOR recommended doing it now or the Town would not be able to set the tax rate. Motion: To move the sum of $540,554.61 be transferred or appropriated from the funding sources listed to increase and or decrease the appropriations for the Municipal Town departments as shown for the ensuing 12 month period beginning July 1, 2013 as voted pursuant to Article I and Article 4 of the May 7, 2013 Annual Town Meeting (Mr. Moran read each line item as presented) (Moran/Kozlowski) PASSES 4:1 Dentino NAY Mr. Dentino did not like that it was an all or nothing Article Article 7: Eliminating Deficits Existing at the End of FY2013 Board Of Selectmen's Meeting April I6, 2014 Page 5 of 15 Motion: To move the sum of $3,985.05 be transferred from Free Cash in the treasury of the Town, to eliminate the deficits existing at the end of Fiscal Year 2013 as of June 30, 2013 in the accounts listed (Mr. Moran read the accounts) (Moran/Kozlowski) PASSES 4:1 Dentino NAY Mr. Dentino did not like utilizing Free Cash, Article 8: To Pay Unpaid Prior Year's Bills Motion: To move the sum of $22,642.41 be transferred from the funding sources listed to pay the unpaid prior year's bills as shown (Mr. Moran listed the unpaid bills and the funding sources) (Moran/Kozlowski) PASSES 4:1 Dentino NAY Mr. Dentino did not like utilizing Free Cash and asked, with respect to Parking, what ParkMobile was to which Mr. Ross explained it allows for commuters to pay parking bill over the internet via a cell phone. A change in staff in the DPW was the cause of the numerous bills unpaid. Mr. Dentino approved of the ParkMobile service. Article 9: Abatements and Exemptions (Overlay) Accounts Motion: To move the sum of $1,072.66 be transferred to and from the listed Allowance for Abatements and Exemptions (Overlay) accounts as set forth (Mr. Moran listed the sources and destinations) (Moran/Kozlowski) PASSES 5:0 Article 10: Defray the Expenses of the FY2017 Triennial Revaluation of all Town Properties Motion: To move the sum of $40,000 be transferred from the closed General Fund articles set forth to be spent by the Town Manager to defray the expenses of the FY2017 Triennial Revaluation of all Town properties (Moran/Kozlowski) PASSES 5:0 Article 11 — Motion 1: Airport Land Acquisition and /or Avigation Easements and Tree Clearing Motion: To move the sum of $7,150 b appropriated, to be expended by the Mansfield Airport Commission for the purpose of airport land acquisitions and /or avigation easements and tree clearing; and to meet this appropriation, $7,150 be transferred from Airport Enterprise Fund Retained Earnings (Moran/Kozlowski) PASSES 4:1 Kozlowski NAY Article 11 — Motion 2: Airport Paying Town Portion of Costs Related To Obstruction Removal at Mansfield Airport Motion: To move the sum of $51,000 be appropriated, to be expended by the Mansfield Airport Commission for the purpose of paying for the Town's portion of the costs related to obstruction removal at the Mansfield Airport as per the Airport Master Plan; and to meet this appropriation, $51,000 be transferred from the Airport Capital Improvement Account authorized by Article 11 of the May 7, 2013 Annual Town Meeting (Moran/Kozlowski) PASSES 4:1 Kozlowski NAY Article 11— Motion 3: Airport Administration Building Motion: To move the sum of $193,899 be appropriated to be expended by the Mansfield Airport Commission for the purpose of paying for the Town's portion of the costs related to a new administration building at the Mansfield Airport; to meet this appropriation, $85,707 be transferred from the Airport Capital Improvement Account authorized by Article 8 of the April 24, 2012 Annual Town Meeting and $108,192 be transferred from Airport Capital Improvement Account authorized by Article 9 of April 24, 2012 Annual Town Meeting (Moran/Kozlowski) PASSES 5:0 Board Of selectmen's Meeting April 16, 2014 Page 6 of 15 Article 12 — Motion 1: Capital Improvement Projects Motion: To move the sum of $651,678 be appropriated to be spent by Town Manager for the various listed Capital Improvement Projects for the Town of Mansfield, including all costs incidental and related and to meet this appropriation, $651,678 be transferred from Free Cash in the treasury of the Town, the sums listed being intended to be estimates of the individual items but the amount to be appropriated being the one line item in the total amount of $651,678 and the Town Manager be authorized to distribute such funds in such a mariner as may be needed to accomplish the list of items, provided however, that each item contained in the list set forth be undertaken and that any excess funds be available because one or more of the listed items cost less than was estimated and not because an item intended to be purchased is not so purchased (Moran/Kozlowski) PASSES 4:1 Dentino NAY Chairman Aptowitz inquired about the cruiser to which Mr. Ross noted this vehicle would be purchased and not leased and assigned to investigation or non - patrol and would have a longer life than three years. Chairman Aptowitz noted it is not so much the windows but the caulking. Mr. Annino took issue with this cost. The Chairman asked Mr. Ross to follow up on the exact current cost, the status of the project and any expected future cost. Mr. Feeley, member of the Finance Committee, explained that this project came in phases and noted this should be the final phase. Mr. Feeley noted the Capital Committee was concerned with the entire process as was the Finance Committee where a rigorous process will need to be implemented where projects and its items and costs are heavily scrutinized and more questions are asked. The Chairman wanted further information prior to voting. Mr. Moran recalled it was a reasonable expenditure. Mr. Kozlowski asked if the Town was purchasing additional Water Meter Radio Readers to which Mr. Ross noted it is a part of a replacement schedule plan where they are reaching a point of replacement. Mr. Kozlowski asked if they run out to which Mr. Ross noted the technology continuously changes. Chairman Aptowitz would also like additional information regarding the Water Meter Radio Readers. Mr. Moran felt that these items are each vetted by numerous Committees before they get to the Board (Finance, Capital Improvement, Planning, School and Building). Mr. Feeley noted that there is a robust amount of information on these items which the Committees have available. If the Board would like additional information, in the future, they will be able to accommodate that request. Mr. Moran noted that the Capital Budget was completed in December. General Laws ( "Proposition 2 % ") all amounts required to pay the principal of an interest on the borrowing authorized by this vote. Mr. Moran noted this will need to pass by 2/3 vote. (Moran/Kozlowski) Discussion: Mr. Kozlowski noted that the hope with this project was to bring it in line with retiring debt so that there would be no impact to the residents. Mr. Ross reminded that it was "minimal impact" and not "no impact ". Chairman Aptowitz asked what the impact would be to an average home to which Mr. Stanbrook explained if the Article were to pass this year, using the FY 14 tax rate (which is the only number available) and the median residential home value in Mansfield is $339,300 there would be an impact of $120.47 and the average home is $362,625 and there would be an increase of $128.75. Chairman Aptowitz noted that would be considered debt exclusion. Board Of Selectmen's Meeting April 16, 2014 Page 10 of 15 Mr. Kozlowski and Chairman Aptowitz asked how much the Town would have to borrow to be an offset to the debt coming off the books to which Mr. Stanbrook noted the tax levy would go up no matter if the Article passed or not thus no number would be a net zero. Chairman Aptowitz asked how much can the Town borrow that won't have any debt exclusion impact. Mr. Stanbrook noted that $700,000 is coining off for FYI in principle and interest and Mr. Ross noted it would finance about $7 million. He explained the rule of thumb is to take the PMI and multiply by 10 and that is about how much to borrow. Chairman Aptowitz noted'the current facility is a wreck and the Town needs to do something but in his mind he believed it was going to be expense neutral or pretty close to that but $130 added on to taxes as it is isn't necessarily neutral. Mr. Kozlowski rephrased and asked how much highway garage the Town can get with no impact. Mr. Moran stated probably just cosmetically assisting the current facility. Mr. Ross did not believe the Town could get anything useful with that amount. Chairman Aptowitz asked if that was studied in Capital Improvement. Mr. Feeley noted this was studied extensively and felt the Board was taking part in an incomplete discussion. Ile explained that the nature of the facility that is being built is also going to generate substantial operational savings during its life and noted it is north of $8 million (with efficiency, heating and equipment being inside, manpower and overtime). FIe felt that the Capital Improvement study emphasized the maximization of those benefits and questioned if a lesser facility would have the same results. He stated that as the Town would need a debt exclusion to purchase the facility the Town would see the benefit on the operational side during the facility's life. Mr. Kozlowski felt the operational savings could easily get swallowed up in other operational costs in the next five to ten years. Chairman Aptowitz felt it would be up to the residents to make the call and would need a 2/3 vote at Town Meeting and then would need to vote on at a Special Election. Mr. Annino was not comfortable voting on a $13 million project with no backup let alone discussing it. Mr. Ross and Mr. Moran noted there was a presentation to the Board to which Mr. Annino reminded it was a schematic design presentation where there was discussion of design build. Mr. Annino is not convinced the Town needs a $13 million DPW garage. Mr. Dentino would like to see the plans as it is a lot of money. The Chairman felt the Capital Improvement Committee did a great job but the Board is the gatekeeper and felt more discussion was needed before voting on this Article. Mr. Moran felt that beyond Capital Improvement the Board has had enough information on this for a while as well as figures presented to the Board and was surprised that members are acting shocked at this figure. Mr. Armin stated he was shocked at the figure at the initial presentation. Chairman Aptowitz noted he was expecting a minor at most impact to the tax payer. He is questioning the debt exclusion. Mr. Annino stated the Town is looking at tax increases every year and this would be another one on top of those so in his mind it would need to be justified. Mr. Ross noted the other part to this is if you look at some of the other buildings that have been done (on the cheap) and now are not working. He noted the Plymouth Street Fire Station and some others. He felt this proposal was done correctly and that the costs are very comparable to other communities who have done the same thing. He noted the Town could build a $7 million facility Board Of Selectmen's Meeting April 16, 2014 Page 1 I of 15 with equipment outside and not gain a great deal in terms of efficiency of operations. Mr. Ross said putting substantial money into the current facility would not be worth it to which Mr. Annino agreed. Mr. Annino also stated there are a hundred different ways to look at how to budget something and sometimes you need to be inventive and constructing something that is economically viable. Chairman Aptowitz moved the discussion to the possibility of one large building housing DPW as well as Public Safety. Mr. Feeley noted there has not been a proposal with that in mind in a location that could accommodate a facility of that nature. Mr. Ross felt that if this was about the location then that is a different discussion and stated he is convinced there is not enough room at the existing DPW site for a facility of that nature. Chairman Aptowitz stated the Fruit Street location just came about and that the Board did not vote to put it there. Chairman Aptowitz stated Mr. Moran is 100% correct that the Board had the number and the expenses but it was the detail of the financing that the Board did not discuss. Mr. Stanbrook noted that the fall off fi•om last year to this year was $657,727 and reminded that all debt exclusions will be gone by FY20. Mr. Moran if there was any ramification to letting all the debt fall off to which Mr. Stanbrook stated the tax rate would be lower. Mr. Annino stated the Town cannot make Mansfield unaffordable to potential residents and businesses. The Article was tabled for further discussion at next week's Board meeting. o n a s The Board would like the Finance Committee to review Articles 20 (TOD). 21.22 and Articles 28 and 29. Mr. Schooveld and the Finance Committee will provide feedback at next week's Board Mr. Ross reported that the budget is balanced. He explained that the number for Charter Schools was slightly reduced than originally budgeted so adjustments were made. The School Department was informed of that change. The Chairman would like to see a final press release distributed. Mr. Ross noted that the School Committee has supported the Municipal budget and recommended that the Board do the same for them as it is important and really is an integrated budget. Chairman Aptowitz asked that the Article be placed on the Town Website so that residents can digest the information and be able to associate with the appropriate Article number and attend Town Meetina well informed. Mr. Ross noted that contractors have been scheduled and the work should be completed by the end of the fiscal year. Mr. Ross brought the Indemnification Agreement for the Xfinity Center for the Board to sign. It was approved at the previous week's meeting but Mr. Montgomery had left prior to signing. Board Of Selectmen's Meeting April 16, 2014 Page 13 of 15 Mr. Ross reported on miscellaneous Highway Updates: contractor performing tree trimming on various roads where trees are too low, Lorusso Corp. making road repairs so that chip sealing can be completed this spring (hoping to begin April 21St), Sealcoating, Inc. began cracksealing last Monday (April 14th) and town -wide street and sidewalk sweeping is in the process. The office will be closed on Monday, April 22 ad due to the Patriots Day holiday. Mr. Ross asked if Monday, April 281h would work for an Electric Board meeting. Mr. Dentino reported it would. Mr. Ross reported the motions are mostly complete and Mr. DeRensis is working on the remaining Articles and motions. Mr. Ross noted the Town is in discussions with the Clemmey's regarding the public safety detail payments for the private commercial lots. A report will be issued from Town Counsel with review of the commercial t)arkina facility's license renewal. Mr. Dentino called into question how much Free Cash the Town needed to spend and noted that when all tallied the (actual) Free Cash for FYI Budget was $2,608,517. He noted that $217,500 was transferred to Stabilization and felt that amount not to be efficient compared to what is being spent by Free Cash. In regards to the Parking Enterprise Account, Mr. Dentino remembered that the last reported revenues for that account was $345,000 - $360,000 and asked if the Town is getting $350,000 (plus or minus) in revenues and appropriating $617,000 in FYI 5, how long will the Parking Enterprise Account remain positive because the Town is not only taking revenue but retained earnings. Mr. Ross noted revenues are estimated to be $556,000 for Parking Enterprise and the expenditures are estimated to be $555,806 (numbers may vary). Mr. Ross felt the revenue stream to be fairly solid and noted that in previous years the lots were not always filled up when the Town was charging $4. Mr. Dentino stated the Town will still exhaust just about everything it makes in appropriations. Mr. Ross felt there was still a sufficient balance. Mr. Moran commented on the how smoothly the budget process has been this year. He was appreciative of the efforts of the Finance Committee, School, John Stanbrook and Mr. Ross in taking into account the Strategic Plan and allowing the Town to move forward. Chairman Aptowitz noted that the Board has gone through a lot of battles over the years concerning the budget and it is nice to see management sit down to achieve a cohesive budget that is best for both the Town and the Schools. He appreciated the cooperation of both Brenda Hodges and Ed Vozzella and the work done by Mr. Ross and Mr. Stanbrook. Chairman Aptowitz sent his best to Larry Crossman. None.
