September 16, 2015
Present: George Dentino, Chairman; Jess Aptowitz, Vice Chairman; Olivier Kozlowski, Clerk;
Doug Annino, Frank DelVecchio and William Ross, Town Manager.
Chairman Dentino called the meeting to order at 7:00p.m. The Chairman reminded everyone that
the meeting is being broadcast live and taped for future broadcast on Mansfield Cable.
Chairman Dentino asked for a moment of silence for Martin Schwartz who worked for Mansfield
Cable and the Board with televising the Board's meetings. Chairman Dentino noted how much
Mr. Schwartz will be missed by so many in the community as he was well liked, helpful and you
couldn't ask for a better man. Mr. Aptowitz remembered Mr. Schwartz to be very conscientious
and "up on the issues ". Mr. Aptowitz sent his condolences to Mr. Schwartz's family. Mr. Amrino
felt Mr. Schwartz was an Ad Hoc member of the Board who was a gentleman at all times and the
Board will miss him. Mr. DelVecchio stated Mr. Schwartz was always smiling and a kind soul.
He felt everyone could learn from his demeanor which was positive. Mr. Kozlowski remembered
that RARE Hospitality, Longhorn's corporate, is seeking to have Mr. Herard as the manager of
record for the all alcohol license as its new General Manager is not a U.S. citizen. Mr. Herard has
worked for Rare Hospitality for 12 years in multiple locations and is TIPS certified.
Mr. Kozlowski asked when the previous manager had left the company to which Mr. Herard noted
Paul Corbett left the position over a month ago and admits that his Corporate Office failed to notify
the Town in a timely manner as is required. He has followed up with Corporate who has since
found the paperwork and noted in the file of the verbal verification within three days and an
application within fourteen days policy.
Mr. Armin asked if there was a resume submitted with the application to which Ms. Whalen
explained that employment history is required for the past ten years by the ABCC and is listed on
the application and referenced the Manager Application form. Mr. Annino explained to Mr.
Herard that this Board takes alcohol licensing very seriously and followed up by asking how many
hours Mr. Herard would be on site to which he noted he averages 60 hours per week.
Mr. Aptowitz asked Mr. Herard to relay concerns to his Corporate Office that it is very frustrating
that a company of this size does not know the rules and this Board will not stand for it. Mr.
Aptowitz would like something in writing from Corporate stating it understands the requirement.
Chairman Dentin asked if the staff at Longhorn is fully TIPS certified to which Mr. Herard report
95% are in compliance but they have recently had new hires, A TIPS class has been scheduled
within the next three weeks. Mr. Herard reported the goal is to have at least four TIPS certified
members on staff at all times.

Motion: To approve the manager transfer and appoint Kenneth Herard as manager
(Annino/Kozlowski)
Discussion:
Mr. Kozlowski reminded that the Board has had this happen numerous times, noting it is not the
new manager's responsibility to bear the brunt of the Board's wrath, as it is typically Corporate's
mistake. Mr. Kozlowski felt there to be inconsistencies as to when the original manager left and
also questioned Corporate not knowing the Board's requirement as it is clearly written on the
license. Mr. Kozlowski would like to discuss on a future agenda possible sanctions. Mr. Ross
reminded the Board that all 2015 alcohol license renewal packets contained information regarding
the Board's policy of a three day verbal notification of a change in manager to be followed by an
application within 14 days and that the language is clearly written on the license which on site at
the location as well as a copy to Corporate. Chairman Dentino asked if there was a fine to which
Ms. Whalen explained there is no fine but that the Board would follow the ABCC policy of 1)
issue written warning, 2) suspension of the license for a period of time, 3) modification of the
license or 4) revoke the license which would need to be discussed at a Public Hearing.
Motion: To approve the manager transfer and appoint Kenneth Herard as manager

Motion: To schedule on the next available agenda a discussion as to whether a notice of Public
Hearing should be scheduled for Longhorn Steakhouse in regards to sanctions for this conduct

Present before the Board renresentina Branch Street Solar Partners are attornevs Ed Valanzola and
Matt Valanzola, Dan Russell, principal of Branch Street Solar, Jim DeVillis, civil engineer, and
Jonathan Abe, consultant. Mr. Ross noted that Redd Hoffinan, Town Counsel is also present.
Mr. Valanzola summarized that the over the past few months there have been numerous meetings
with regards to the project with Gary Babin, MMED Director, Mr. Ross, Town Department Heads
(coordinated through Shaun Burke, Town Planner and Nick Riccio, Building Inspector and Zoning
Enforcement Officer) and abutters (taking place within the Conservation Commission meeting as
well as one on one with Mr. DeVillis). Mr. Valanzola noted the Board is in receipt of the
Development Agreement (with a few attachments still needed) and it is the group's hope that the
Board will authorize the Town Manager to execute the Development Agreement. Mr. DeVillis is
here this evening to go through the plans and site enhancements with the Board and to answer any
questions.
For the record, Mr. Aptowitz noted he has since changed real estate companies where he now
works with Mr. Valanzola's wife. Mr. Aptowitz did not feel this to be a conflict of interest.
Mr. DeVellis was hired by Branch Street Solar to provide site planning, civil engineering and
landscape architect service. Mr. DeVillis reiterated that he has met with and completed
Conservation Commission's process as well as with Department Heads and several neighbors.
Project includes 20 acres abutting Branch Street and the bike path (two zones of industrial
and residential) with two separate parcels (one has been purchased while the other is under
agreement)

• Site Preparation Plan: shaded areas are vegetation to be removed, Campo portion of the
site has been cleaned with an Area Use Limitation (AUL) on the site, Wetlands have been
marked
• Solar panels are north facing away from Branch Street and residential areas
• There are two acres that the Developer decided to keep out of the development area out of
respect for the trail
• Within the property line there is a 30' buffer where there will be no clear cutting just
selective pruning
• On the corner of Branch Street and the trail the Developer will place a small parking area
for five cars — this is outside of the solar area
• Around the perimeter of the entire site and 15' inside the property there is a 6' chain link
fence and will be gated utilizing same entrance as previous industrial site
• Darker areas represent landscape architect walking site where any area that had potential
of a view was supplemented with different types of pines (6' to 8') to grow in over time
• Met with neighbors who were concerned about site line from back yards - in order to work
the panels need sun so anything over 15' will be topped off (cut) from the base or will
otherwise be replaced with evergreen trees wide enough to hide the panels
• Existing paving is to remain except for frontage area on Branch Street (30' buffer) and
area where the proposed parking will be
• Solar panels sit on the grade which is gentle slope from Branch Street where panels sit on
a plastic sled and adjust so that they are uniform. There is no deep excavation and all
utilities are above ground
• Conservation Commission has approved and all requirements met
• Residents from Lincoln Place who were concerned with the view corridor wanted
additional plantings on their property and agreed to place white pines
• Comments from Department Head meeting with regards to BMX trail riding has been met
by proposing 6' chain link fence and take off top rail to prohibit climbing
• Transformer and Inverter are 1,000' from nearest house
• Security lighting will be motion based
Mr. Annino asked for clarification on the lighting to which Mr. Valanzola noted the site will not be
lit other than motion based security lighting where the equipment (transformer and invertor) is
held and well away from any residence. Mr. Valanzola reported that Public Safety weighed in on
the fencing and access to the property and is satisfied with the proposal of the fencing.
Mr. Aptowitz asked how often the site will be maintenance. Mr. Valanzola noted as part of the
Development Agreement a Landscape Operation of Maintenance Plan and a Facility Operation of
Maintenance Plan still needs to be submitted. Mr. Aptowitz's issue is that the developer is asking
the Board to approve the agreement when it has yet to see those two maintenance plans and that a
rendering would have been helpful. Mr. Valanzola explained as the site built the developer will
understand better what the maintenance programs should be and until the facility is put together it
is difficult to come up with that plan. Mr. Aptowitz was uncomfortable with approving an
agreement without the exhibits. Mr. Hoffman was comfortable with the Board signing noting if
the maintenance plans are found to not be in compliance or unacceptable, the solar facility can still
be built but the Town doesn't have to "turn on the switch ".
Mr. Kozlowski noted that the agreement states "prior to commencement of construction:
Development Plan, Site Plan, Maintenance and Landscaping Plan ".
Board Of Selectmen's Meeting September 16, 2015
Page 3 of 10
Mr. Aptowitz referenced an Indemnification and Hold Harmless and asked if there were to be a
bankruptcy filed or a home damaged who would be responsible as there is no insurance (bond).
Mr. Valanzola stated it is not an intrusive site and its impact to surrounding properties is minimal.
Mr. Abe explained the design of the panels. Mr. Hoffman noted Town Counsel is fine with the
Indemnification section of the agreement.
Mr. Kozlowski noted there is a bond in place for removal (decommissioning agreement) where
sufficient fiords are in place. Mr. Aptowitz asked for the plan once the agreement is in place. Mr.
Abe explained to build the project as soon as the snow melts (April 1) and to have it up and running
within three months. He noted there may be site work/clearing in the fall. Mr. Valanzola noted
there are imminent financial deadlines looming. Mr. Aptowitz recognized that he initially voted no
for the project but since the project did pass it must move forward and base decisions on what is in
front of the Board now.
Mr. Kozlowski noted he also voted no but felt the Board needs to move forward to ensure this is
the best situation. He asked, in reference to the bike path, is the buffer the entirety of the facility.
Mr. DeVillis explained there will be a 30' band on the property with an additional 10' off the
property. Mr. Kozlowski is concerned with the reference of selective cutting as it was brought up
with the Airport, which took everything down. Mr. DeVillis noted this was brought up in the
Conservation Commission meeting as the developer is working within their 25' `no disturb'. He
explained the developer will work with the same requirement and sensitivity to the wetlands
throughout the site. Mr. Kozlowski is concerned with diminishing the bike path further and felt
there needs to be assurance the view is not impacted further.
Mr. DelVecchio agreed with Mr. Aptowitz regarding concern for the various attachments and
wanted clarification that they will come before the Board for approval as opposed to being
administratively approved. Mr. Ross assured they would. Mr. DelVecchio was'pleased that the
group worked with the neighbors to plant more trees.
Chairman Dentino asked for the elevations with regards to the setbacks to which Mr. DeVellis
noted there are 2' contours throughout the site. The Chairman asked if the wetlands had been
flagged to which Mr. DeVellis noted there was a two -step process where the Conservation Agent
went out with the botanist and flagged wetlands. Chairman Dentin inquired about an Order of
Compliance to which Mr. DeVellis noted the hearings were opened /closed as the developer is
waiting for the Operations Maintenance Plan and the addition for wording for topping off.
Mr. Kozlowski noted there were a few places in the agreement that appeared to have gaps,
referencing Section 2.3 to which Mr. Valanzola distributed the completed section to the Board and
has been made a part of the record. Mr. Kozlowski also referenced no dollar amount for security
escrow to which Mr. Abe noted the thinking was once the was site laid out and approved they
could move forward to create the 10% design and share with potential construction/COD removal
in order to provide cost bid and could then set the amount for decommissioning. Mr. Kozlowski
was concerned that the Board is being asked to sign something that is not complete. Mr. Valanzola
reminded that they still need time to develop some of the attachments but needs Town's approval
first and it is in their interest to work with the Town for that approval. Mr. Kozlowski suggested
rewording. He asked if there was anything missing in Section 4.2.2 to which Mr. Hoffman agreed
it does need to be cleaned up.
Board Of Selectmen's Meeting September 16, 2015
Page 4 of 10
Joe Cerrentani, Planning Board, asked about the grading to site to which Mr. DeVellis explained
the challenge on the site is the AUL, as the site has past contaminates. He noted it is very costly to
excavate that so the grade will remain and that the panels can be adjusted to the grade. Mr.
Cerrentani asked if there would be any big elevations that would pitch up to which Mr. DeVellis
stated the bottom line is the least amount of excavation, pavement removing. In terms of concrete
removal Mr. Cerrentani asked if that had taken place to which Mr. DeVellis explained old
foundations are staying. Mr. Cerrentani noted the Planning Board would also need to see the
Maintenance Plans in terms of vegetation. Mr. DeVellis noted the Operation of Maintenance plan
submitted to Conservation notes everything that grows gets cut down. Mr. Abe explained
typically with these types of facilities there are monthly visual inspection and quarterly detailed
inspection with on -call 24/7 service for emergency or questions. Mr. Cerrentani questioned if
monthly to be enough where Mr. Abe felt it would but would not be a huge deal to adjust.
Don Cleary, Planning Board, questioned if the 6' fence was enough in terms of deer where Mr.
Abe noted he manages other facilities where a 4' is not enough but felt 6' adequate. Mr. Cleary
reminded of the BMX trails and asked if that area would remain untouched where it was noted if it
is inside the AUL it will not be touched. Mr. Cleary would like to see new plantings along length
of bike path where he reminded it isn't just for neighbors but bike path users as well. In terms of
zoning (industrial against the residential) asked if it should be a 50' buffer not 30'. Mr. Valanzola
stated to keep in mind the project is exempt from dimensional setback. Mr. Cleary referenced the
Landscape Buffer Strip Section 4.3.6. Shaun Burke, Town Planner, felt we should ask Mr. Riccio.
Mr. Ross noted it was asked of Mr. Riccio, who agreed no buffer needed to be provided.
Mr. Burke explained that panels, snow and wind loads, anchor of panels and fence shrinking have
all been discussed through site plan review and at staff level. Mr. Burke noted the staff meeting
was well attended and represented by Police, Fire, Engineering, Conservation, Electric as well as
Mr. Burke and Mr. Riccio. Mr. Burke felt the group talked through any issues and in terms of the
attachments felt the true location of the panels will be determined in the field. From Mr. Burke's
perspective the Town has nailed down the project where, at this point, the developer needs to move
forward with financing and then return to the Board. He is satisfied where the developer is with
the plan as it gives the Town a good indication of what final product will be. Mr. Burke's big
concern was what would be done for the night sky and was assured by the developer it was motion
sensored and it would not be illuminated.
Mr. Annino noted the initial renderings of landscaping and the inverter and would like those
included in the packet.
Mr. Ross noted the project has been thoroughly reviewed by staff. He felt that it is important to
remember that this is only a step in the process where there is still no Purchase Power Agreement
and that the relevant parts of the Development Agreement have to come back to the Board for
review and approval. He noted without the Purchase Power Agreement there will be nothing to do
on this site and that the Town has a situation where until the documents are received the project
can't move forward. The approval of the agreement is needed to assure the developer receives
financing.
Mr. Valanzola noted it clearly states the developer needs the Town's consent on the exhibits as
well as the Purchase Power Agreement. Mr. Kozlowski was skeptical that the developer's
financing is fine with a signed Development Agreement but not requiring the Purchase Power
Agreement. Mr. Abe explained the developer needed feedback in terms of the structure of the
Board Of Selectmen's Meeting September 16, 2015
Page 5 of 10
Development Agreement and Site Plan in order to spec out the size of the system and use that as
the base for a more detailed agreement that still need to come back before the Board for approval.
He explained financing is happening parallel to this process.
Mr. Ross asked if the developer needs to have an approved Development Agreement or knowledge
that the concept is acceptable. Mr. Valanzola stated they require approval for the Development
Agreement for the Town Manager to execute subject to submission of all of the exhibits and is
critical at this point. Mr. Aptowitz asked when the exhibits would be submitted to which Mr.
Valanzola stated within weeks.
Mr. Kozlowski does not have a problem voting on the concept but cannot see voting to authorize a
signature on a document exhibits that don't yet exist. Mr. Valanzola suggested different language
such as "the exhibit, once agreed upon ". Mr. Aptowitz agreed with Mr. Kozlowski that there
appears to be a lot of holes in the document. Mr. Kozlowski understands that the financing is
needed in order for the developer to order equipment to be ready for the spring but questioned if
the Purchase Power Agreement was needed to which Mr. Abe noted yes, prior to closing. Mr. Abe
explained that in order for them to seriously engage in investors they need to demonstrate progress
on the development side.
Mr. Annino felt in order to move forward with financing, preliminary approvals are needed. FIe
felt it this could all be worked out especially since the Town is still holding the Purchase Power
Agreement. Mr. Ross likened this to a subdivision where the concept of the site plan is completed
but the detail engineering plans are handled at staff level. Mr. Burke agreed that the Planning
Board sees the recommendation by staff. Mr. Ross noted that this board is actually seeing more
than usual and is appropriate as it is a new and unique project.
Mr. DelVecchio agreed with Mr. Annino noting if the Board wants to move this forward it needs to
defer to the judgement of Town Counsel as he relies on professional staff and counsel guidance.
Mr. Kozlowski suggested a motion to approve a Development Agreement substantially in the form
as presented to be signed when all of the paperwork is in place. He looked for Town Counsel's
opinion. Mr. Hoffman noted that to be acceptable. Mr. Valanzola reminded that these projects are
not financed in the traditional sense but the investors participate in this where the majority is tax
incentive driven. He again stated the developer needs to show an approved Development
Agreement and believed that time is now and reminded again of the built -in safeguards.
James Farley, 18 Lincoln Road, who is an abutter, would like to try and reset relations noting he
had a valuable meeting with Mr. DeVellis where they walked the path along the back side of his
property. Mr. Farley appreciated the additional trees to the back side of his property and paid for
by the developer. He felt it to be a nice token yet commented they would look nice in 8 -10 years.
He has a difference of opinion with regards to the trees on the bike path where those trees are the
best the neighborhood has to mitigate the affect (glare, noise). Secondly, when reviewing the
Development Agreement with regards to cleaning, he is fearful that toxic chemicals will migrate to
the neighborhood where there are numerous small children.
Robert Camp, 14 Lincoln Road, noted he attended the Conservation Commission and thanked Mr.
DeVellis for meeting with him afterwards. Mr. Camp has the same concerns as he understands
taking out trees (topping) but some are really beautiful hardwood trees, which would be a shame to
lose as his quality of life will decrease. Mr. Camp wanted to note he is not the spokesperson for the
Board Of Selectmen's Meeting September 16, 2015

neighborhood. In terms of the parking area Mr. Camp felt residents are concerned as the existing
curb is awful and would like the Board to rethink that. He noted that an area of that nature with
gravel will also increase noise and if a parking lot has to be there if it could be paved.
Mr. Valanzola stated that the concept of the parking area would be to have benches and
information boards for the public explaining the solar farm and utilize the path. He noted if the
residents are concerned they could certainly eliminate the parking and just have benches to offer a
nicer appearance.

Mr. Ross prefaced the discussion by noting the Town has been working with the EPA for some
time on these AULs and they are a pant of the agreement that was entered into a few years ago with
EPA when the site was cleaned up with SuperFund. The Town has worked closely with Daniel
Deutsche, from Town Counsel, who is the counsel on environmental issues. There are two
agreements because the site is divided into two pieces 1) North — adjacent to County Street where
MEMA building is — which has the most issues and 2) South -other side of railroad - much cleaner
with little or no work.
Mr. Ross reported the limitations are much stricter on Northern side (adjacent to County) with the
main limitation on how much excavation can be done on that site because of the clean -up. In both
cases residential use, child care, schools are prohibited. Mr. Ross noted industrial use to the extent
on the Northern side must not intrude into the protected areas underneath (referencing about 3 ft')
and more liberal on the Southern side. Mr. Ross noted that in both cases, any excavation requires
a site professional to review and sign off. The Town is required to submit an Annual Report to
EPA and State with regards to any activity on the site, which was extended through June.
Mr. Kozlowski did notice some excavating was possible on the Northern AUL and a process for
that to happen. Mr. Ross noted the allowance to do excavation on the Northern AUL is there
because Mr. Ross asked for it due to when the Town extends the road from the other side of the
track, it will go through that area, so it is there to protect that possibility.
Chairman Dentino asked for the placement of the crossover, which Mr. Ross explained would be
where the actual planks currently in place are, as Hathway Patterson had that reviewed.

Chairman Dentino asked if Aidan Corrigan would be presenting to the Board to which Ms. Whalen
noted he would but first needed to present to the Recreation Commission.
There was a brief discussion as to if the Board would begin meeting weekly in the month of
October. Chairman Dentino did not feel the Board needed to meet weekly but would change that if
the Board appeared overworked. He would like to hold it the wav it is.

Mr. Ross was pleased to inform the Board that the Town has receive the first contract back from
FEMA for snow and ice issue — this was for the administrative side totaling about $4,000.
Payment is scheduled for the last week of September. Mr. Ross noted that DPW Manager,
Christina Collins is in discussions with FEMA ironing out the last details on the major bill
$170,000 - $180,000 where she is confident that is completed and should receive a contract soon.
Mr. Ross felt Ms. Collins has worked hard along with Betty Peter at staying on top and ensuring
Mansfield is paid well before other communities.
Mr. Ross reminded that the dedication for the mural and rededication of the North Common begins
at 12:00pm this Saturday, September 19t". It will be a family event.
Mr. Ross announced that the Route 106 meeting has been postponed (originally scheduled for
Thursday, September 17) due to the death of Lee Azinheira's father. Mr. Ross announced the
wake will be Sunday, September 20 °i from 6:00pm- 8:00pm at Perry's Funeral Home, 111
Dartmouth Street, New Bedford. Mr. Ross has informed staff they may attend the funeral,
scheduled for Monday and will not be docked.
Mr. Ross has received one response with regards to the vacancy on the Board of Assessors but an
application has not yet been received. He asked if others are interested to please contact his office.
Board Of Selectmen's Meeting September 16, 2015
Page 8 of 10
Mr. Ross will be out of Town attending the ICMA conference beginning September 26t1i. Nick
Riccio will be Acting Town Manager in his absence.
Mr. Ross spoke with Mark Cook, Highway Operations Manager, and reported final lift on Otis
Street is ready and granite curbing will be in place on West Street on Monday, September 21St
followed by the sidewalk. The intention is to then move to grinding on Main.
Mr. Ross felt the results were positive from yesterday's Special Election and it is now the Town's
responsibility to move forward with the facilities that the citizens approved. He noted the Town
has an obligation to build the facilities on time and under budget and that is the goal. Chairman
Dentino asked when plan views will be available to which Mr. Ross noted requests for
architectural proposals are due next week (week of September 21St) which will be reviewed and
work with the Building Committee. Mr. Aptowitz asked if the Board would have a say regarding
the interior of the Building to which Mr. Ross noted the final decisions, under the Charter, lie with
the Building Committee. Chairman Dentino would like to see the list of the architects.
Mr. Ross read a notice of Fall System Flushing from the Water Department beginning on
September 22nd and expected to last six weeks. This notice has been made a part of the record.
Mr. Annino thanked Mansfield Police and Fire and dispatch for handling an emergency situation at
his home, noting they were quite impressive.
Mr. DelVecchio was hard pressed to look at the result of yesterday's Special Election and say it
could have been much more positive as it is a large scale project and felt the results speak well to
the decision. He acknowledged Mr. Ross' role in letting the professionals take charge and be the
face of the project. He also noted the hard work by Walter Wilk of the Finance Committee and
Scott Feeley from CIP.
In regards to a question raised at the last Board of Selectmen's meeting regarding finding of the
School building study, Mr. DelVecchio was able to have a thorough discussion with Mr. Wilk
clarifying the history of the study and its funding and was fully satisfied with Mr. Wilk's
explanation.
Mr. Kozlowski noted that the Municipal Complex passed by a slim margin and felt it is important
to recognize that. He felt the Town owed it to everyone to do this as efficiently as possible as the
Board understands it is not cheap to live in Mansfield.
Mr. Kozlowski received a message earlier, which he passed on to the DPW, requesting that the
Town place pedestrian crossing cones on West Street. He also heard that tree limbs are falling in
the Fulton Pond area. Mr. Ross noted that Mark Cook will look into that or perhaps Katelymr
Merrill, Conservation Agent to look at the trees.
Mr. Aptowitz commented on the close vote noting the Board put it out to the residents to decide
and now as policy makers the Board needs to ensure fiscal responsibility and asked from this point
forward no new hires unless the Board is informed first.
Mr. Aptowitz asked if the mural will be sealed. Mr. Ross noted it will and prior to payment.

Mr. Aptowitz noted the audit is in draft form for the Electric Department. Mr. DelVecchio asked
when the Audit Committee meet to which Mr. Ross noted he will ask john Stanbrook, Finance
Director.
Mr. Aptowitz noted the Budget SubCommittee met where it basically got the ball rolling as far as
capital, school needs and received their input for this coming year.
Chairman Dentino asked where the Board stood with Jack O'Neil's offer to do a promotional
video for the Town. Mr. Ross noted Mr. O'Neill stated he will shoot the video but is looking for an
outline and script. Mr. DelVecchio asked if that could be tasked to the IDC at least for thoughts.
Mr. Ross would mention it to them. The Chairman asked about the Tri- Chamber's project to
which Mr. Ross noted that someone has been hired and Mr. Ross communicated the Board's
concerns about payment. He noted they too spoke with Mr. O'Neil who gave them the same offer
of video only.
