School Projects is now void.
Re- assignment of Contract - MBC has been working with Legal Counsel, Bob Mangiaratti to use
a clause in the Keyes contract to re- assign the remaining scope of work to Wallace Floyd Design
Group (Keyes' sub - consultant), since they have already been working on the MHS Project. Due
to Keyes filing bankruptcy, Bob Mangiaratti has received authorization from SBAB and the
Attorney General's Office that the Town may enter into a new contract with Wallace Floyd to
finish the school projects.
WFDG Contract - Bob Mangiaratti did not attend the MBC Meeting as scheduled. Mr.
Mangiaratti spoke with the MBC Chairman earlier that day and reported Ire had reviewed the
Wallace Floyd draft proposal (dated March 22, 2001) with David Burson (WFDG) and
negotiated additional concerns raised by MBC. Per Mr. Mangiaratti, David Burson agreed to the
terms of the new contract to include the March 22, 2001 proposal with the following changes:
1. The compensation clause on page 1 will include language that establishes a payment
schedule based upon percentage of completed work.
2. On page 2 the Owner is: "Town of Mansfield" not "Municipal Building Committee"
3. On Attachment A, in Section A, dealing with Extended Base Contract Work, add a new item
that states "All architectural services customarily provided to close out a project of this
nature. This assumes that such work can be complete before the end of Summer, 2001."

5. In the Terms and Conditions, delete item 7 dealing with indemnification.
6. In the Terms and Conditions, delete item 8 dealing with Limit of Liability.
