Chairman Moore acknowledged the absence of Members Doherty and Hunter, recognizing a quorum was still present. CIP REQUEST FOR DPW/PUBLIC SAFETY FACILITY During the next meeting, Chairman Moore will inquire with Member Doherty on the background of Department of Public Works (DPW) Director Lee Azinheira's memorandum to Town Manager John D'Agostino regarding the DPW/Public Safety Facility request to the Capital Improvements Program Committee (CIP). Clerk Clapp assumes Director Azinheira submitted this paperwork for the possibility of the Town qualifying for stimulus funds. Chairman Moore agrees, recognizing the information remains as previously proposed. Chairman Moore and Clerk Clapp discussed the campus layout plan, with Chairman Moore confirming an approximate $12M project cost. Chairman Moore feels this memorandum with attachments may be interesting background material for future use. TERMS AND CONDITIONS BOILERPLATE Members confirmed Clerk Clapp's and Member Doherty's sample documents were electronically received. Member Barry presented hard copies for Committee review, stating the forms are similar to others' and used by the agency he is employed with, the Division of Capital Asset Management (DCAM). These generic contracts are available on the DCAM website or by request, for use by any State agency or municipality for contract consistency. The $25K -$100K project contract is approximately 25 pages; the large- project contract is about 100 pages. Member Barry commented Mansfield would be identified as an awarding authority, not an agency. Member Barry offered to explain more when the entire Committee is present, leaving submitted copies in the MBC office. TOWN OF MANSFIELD MUNICIPAL BUILDING COMMITTEE Meeting Minutes of May 5, 2009 Page 2 of 2 Clark Clapp asked if there had ever been any issues or concerns with the use of these contracts. Member Barry answered that the Agency's attorneys update as new initiatives or State mandates are enacted. As contract - coverage examples, Member Barry cited the new clause of trenches never being left unattended or uncovered for a period of time, and the new requirement of contractors' on-the-job employees being OSHA - certified. Member Barry also brought to attention these documents are written from an owner's viewpoint. Clerk Clapp inquired if the contracts were ever changed at a contractor's request. Member Barry responded a change would only be made to inapplicable insurance coverage, that DCAM attorneys do not negotiate with contractors. This paperwork is part of the bidding process; a successful bid converts to the actual contract. Chairman Moore and Clerk Clapp agree these documents, along with Member Doherty's, present a solid base for the Committee's formation of a standard contract terms and conditions boilerplate for Mansfield. Chairman Moore thanked Member Barry for his valuable contribution. GENERAL BUSINESS Meeting Minutes - Review and Approve March 24, 2009 With two Members not in attendance, it was decided to table the meeting minutes' review and leave open until the next meeting, to eliminate vote reconsideration for reopening. Approved January and February meeting minutes will be distributed at the next MBC meeting, with requested electronic copies sent timely. The next MBC meeting is tentatively scheduled for June 9, 2009, at 7:30 PM at Town Hall. MOTION to adjourn was made at 8:15 PM. Respectfully submitted, Kathleen Travers Reynolds, Secretary Z- t Alan Clapp, Clerk Date
