MINUTES OF MEETING
SEPTEMBER 9, 1985
PRESENT: Chairman D'Onofrio, Commissioners Dunn, McNair, Mahana.
Commissioner Levine arrived at 7:40 P.M.
7:30 P.M. Meeting called to order.
* Minutes of August 5, 1985, approved. McNair /Dunn VOTED: 4 -0.
Mike Jones - MMWEC
Mr. Jones had the Seabrook amendment proposals to contract for advance
funding of payments which the Board did not take action on. This was
discussed at last month's meeting. He noted that 15 participants had
approved it and one had not. In order for it to be effective, all
participants had to approve it. He also had two amendments to be voted
on tonight by the Board. The first was an amendment to NEPEX account
agreement.
* MOTION: To have the Manager authorize the amendment to NEPEX Account
Agreement. McNair /Dunn VOTED: 5 -0. Copy attached to
minutes.
The second amendment was to the MMWEC.'Service Agreement dated August
1, 1985.
* MOTION: To approve the amendment to the MMWEC Service Agreement.
McNair /Mahana VOTED: 5 -0. Copy attached to minutes.
Mr. Jones mentioned that a study on what has been done by other utilities
on rate type incentives will be coming out for the Commission's review.
October 9 & 10 there will be seminars in Framingham and Auburn on rate
design, time of use rates, industrial rates, off peak, seasonal rates,
etc. There is also a membership meeting October 21 & 22 to look at
long term goals and objectives at Chatham Bars.
There was a lengthy discussion on a power purchase proposal from
Refuse Fuel Associates to MMWEC. They have a trash to energy facility
in Haverhill and Lawrence. The proposal included a 20 year contract,
the first 10 years would be at 8.2¢ and the next 10 years would be at
8.8¢. MMWEC will probably be buying into some of this soon. There is
a 5% escalation from year to year. Mansfield would not be getting a
savings on it until the eleventh year of the contract. Basically, they
would be buying energy based on what it would be worth to us.
Mr. Jones spoke about an offer from New Brunswick to build a Pt. Lepreau
II. MMWEC is doing an analysis on it. Two contract will be signed this
week with MMWEC for Hydro Quebec.

Old Business - Manager
Mr. Larch spoke about the unbilled security lights around town. He noted
there were some at Hidden Country, Acorn Mfg., Keil Brothers and some
lights on residential private ways including Dario Way, Blake Place and
Kersten Drive off of East Street. On Dario Way there are two homes and
two lights for the residential customers on the private way. On Blake
Place there are three homes and the town pays for one light. On Kersten
Drive there are four homes, one street light and another light that one
person pays for. Mr. Stuart at Hidden Country has agreed to pay for 3
lights back to 1982 and he has agreed to pay for the other two as of this
month. Acorn Mfg. is paying for one light and there are two on his
property. He wants to have the second light but has not committed himself
to paying for it yet. Keil Brothers has two security lights, but there
is a light on a pole which is turned around facing their building which
Mr. Larch shut off. It was suggested that the Board refer these to Town
Counsel and the Manager to make a recommendation to the Board. Mr. Larch
noted that the DPU does not look favorably to collect on past due bills
over a long period of time. It was the consensus of the Board to have
the Light Manager collect for the unbilled lights and then go to Town
Counsel. There was a discussion on unaccepted streets with street lights
on them with more than one home on the street. Mr. Larch feels that
they should light the private way if there are multiple homes on the way,
excepting private subdivisions for public safety reasons.
MOTION: To approve the Light Department Manager's recommendation
to light private ways that have multiple homes on them
with the exception of subdivisions prior to street acceptance,
for safety purposes subject to Town Counsel's review of legal
definition of a private way. Dunn /McNair VOTED: 3 -2
Mahana, D'Onofrio opposed.
Old Business - Commission
Holiday Decorations Committee meeting next Thursday at 7:30 P.M. to
survey the town. Mr. Larch will give an overview and discuss money
available to be used for decorations.
The poles by Oatalano's should be removed shortly. Mr. Larch noted that
they have not done much street lighting this summer as they were busy
with Fruit Street, new service to Acorn and a new line for Nissan.
Mr. Larch noted that the Office Manager would like to purchase a new
terminal for his office so that he may do his management reports at
a cost of $900.00.
MOTION: That we purchase a VT -220 at a cost not to exceed $1,000.00
including cable. Dunn /McNair VOTED: 4 -0.
MOTION: To go into executive session for the purpose of discussing
contract negotiations and not to come out except to adjourn.
BOARD POLLED: 4 -1 Levine opposed.

MUNICIPAL ELECTRIC DEPARTMENT
MANSFIELD, MASSACHUSETTS 02048
To: Light Commissioner
From: John H. Larch, Flan kl-/
Re: Pending Items
M.M.W.E.C.
We will be voting tonight to amend the NEPEX Account Agreement and the
MMWEC Service Agreement. NEPOOL is planning to implement a change in
the format of their billing system that will require modification of
the present wording in the New England Power Exchange ( "NEPEX ") Account
Agreement between MMWEC and Mansfield, and, in the MMWEC Service
Agreement. Mike Jones will be here to answer any questions you may
have.
We have received a recommendation from MMWEC to participate in the
purchase of power from a trash to energy facility in Lawrence. It
does not require a vote tonight, but we should discuss it so we can
get answers to any questions before the next meeting.
Also, over the next few months, MMWEC will be forwarding MMED recom-
mendations on a variety of topics. As considerable information will
be forwarded over a short period of time, I have asked Mike to review
the following topics for us:
RFA - Refuse to Energy Project
Cogeneration /Small Power Producers, Power Purchase Program
Hydro - Quebec Phase II
Point Lepreau Unit #2
Seabrook Update
Holiday Decorations
We can appoint some people to the committee tonight and answer a few
questions that have been raised.

Additional Computer Terminal
Now that we have the billing system and some of the accounting up and
running on the new computer, it has become apparent that we should
have a terminal for the Office Manager. I recommend that we purchase
a DEC VT -220 for a price of approximately $900.00.
Contract Negotiations
We have had one negotiating session since our last meeting. Before
I go any further, I would like some policy guidance.

EXECUTIVE SESSION
SEPTEMBER 9, 1985
PRESENT: Chairman D'Onofrio, Commissioners Dunn, Levine, Mahana, McNair.
Light Manager John Larch.
A general discussion of our collective bargaining strategy was held.
It was the consensus of the Board to continue negotiations on the
same tack as we have been doing. The last management offer was less
than the 5, 52 & 6% previously authorized and there was no authorization
to increase this amount.
No votes were taken.
