Codification of bylaws is a process similar to the process that the Commonwealth follows when a legislative bill is placed into the statutes. The code also generally includes th Town Charter. The town could then place a link in its website that would allow persons who are looking for code sections or want to review the Charter to access the Code directly from the Town website. Although there is an initial fee for setup and an annual fee Ms. Christian strongly recommends that the proposal be accepted. Ms. Staples has also informed me that Blackstone used this service and found it to be of excellent quality for both town staff and to residents. Selectman Aptowitz asked how far back they codify to. Mr. Smith answered that they usually go back 50 years but it's up to the town to see if they want more or less. Mr. Smith stated it would cost $10,900 to get the town set up and going on the system. Then there would be a maintenance fee charged annually. Selectman Dentino asked what part of the service makes up the bulk of the cost. Mr. Smith replied that the page by page editorial and legal analysis are quite labor intensive. Selectman Annino asked what the maintenance fee would cover from year to year and Mr. Smith provided a brief outline of how the work is done and corresponding charges would apply. Mr. Ross has consulted with Mr. Stanbrook and they agreed that the contract should go out to bid. And they believe that they would be able to finance the project this fiscal year as well. Board of Selectmen Minutes of August 22. 2012 Chairman Kozlowski also asked about additional costs and what would happen in the case the town discontinued the service. Mr. Smith stated that the cd's that the site is run off is town property; they would just not serve and maintain the link. The town would have to provide that service going forward. Motion: To direct Mr. Ross to pursue putting out an RFP for the service. (Aptowitz/Moran) 5:0 passes Yogen Chemburkar, 15 Plowshare Court. Has lived in town for almost 20 years and would like to use knowledge and business management skills to assist the town in financial planning. Selectman Annino asked Mr. Chemburkar about his professional experience. Mr. Chemburkar is the Global Operations Director of Sensata Technologies and feels his background would assist him in volunteering in his community. Selectman Dentino asked Mr. Chemburkar what he would suggest for business growth and/or revenue growth. Mr .Chemburkar stated that the Cabot Business park is a prime area to attract growth. However it is lacking in some infrastructure that big tech companies may be looking for. Selectman Moran stated that the quality of life the town allows its residents is important. However, the board is constantly faced with quality vs. quantity and sometimes there just isn't a "good" choice. It's coming down to a lesser of two evils in keeping the community intact. As such, he wants to know if Mr. Chemburkar would be comfortable with being a part of making those choices. Selectman Aptowitz stated that he can tell that Mr. Chemburkar is highly skilled and would be a valuable asset to the fincomm. However, there is a time committee to being on the committee and Mr. Chemburkar job does demand a lot of him. Mr. Chemburkar stated that he works local and his children are older. He is used to a busy schedule and enjoys it. Selectman Aptowitz also asked what he thinks on operational overrides. Mr. Chemburkar stated there are always choices prior to going for an override. However, there does sometime come to a time when it must be done to bring a budget back in line. Board of Selectmen Minutes of August 22, 2012 2 Chairman Kozlowski stated he is thankful that the town has such great applicants that want to volunteer their services to the town. Motion: To nominate Jim Ragazzo and Yogen Chemburkar. (Aptowitz) Motion: To nominate Scott Feely. (Moran) The board then discussed using written ballots to vote on their choice of candidates. The choices were then read into the record. Selectman Dentino voted for Jim Ragazzo and Scott Feely. Selectman Kozlowski voted for Scott Feely and Yogen Chemburkar. Selectman Aptowitz voted for Jim Ragazzo and Yogen Chemburkar. Selectman Annino voted for Jim Ragazzo and Scott Feely. Selectman Moran voted for Scott Feely and Yogen Chemburkar. Mr. Feely received 4 votes putting him on the fincomm. Unfortunately Mr. Ragazzo and Mr. Chemburkar received tie votes so it was taken again. Selectman Aptowitz voted for Jim Ragazzo Selectman Moran voted for Yogen Chemburkar. Selectman Aptowitz voted for Yogen Chemburkar. Selectman Annino voted for Jim Ragazzo. Selectman Dentino voted for Jim Ragazzo. In Section IV, Compensation, I left the annual base salary line blank and open to discussion with the Board of Selectmen. I did not change the stipend for my additional duties as Municipal Electric Department Manager. The remaining language in this section is the same as the current agreement. In Section VII, Health Insurance, etc.' subparagraph (a), I added dental and life insurance. The Town provides these two insurance opportunities and I am currently enrolled in them. You will note that the cost is as divided for other empllyee's. In subsection (b), there was previously language about starting up the vacation time. I removed that language and replaced it with language that simply accrues vacation at a rate of 4 weeks per year or 1.67 days per month. I did change the maximum amount of unused vacation that can be carried over from year to year from two weeks to four weeks. That item is open to discussion. In subsection (c) the rate of accrual of sick leave is the same as in the current agreement. I did remove the advanced accrual because it is unnecessary. I changed the amount of sick leave that can be accrued from 45 days to 90 days. I would note that the personnel rule for non-union employees currently allows an accrual of sick leave up to 173 days. I added subsection (e) which indicates that any unused vacation or sick leave, at the expiration of this agreement, shall be carried over and credited if the agreement is renewed or extended in the future. I added subsection (f) which relates to leave upon the death of members of the family. T his is similar to what exists in the current personnel rules. I added subsection (g) which allows the Town Manager to have five personal days per year. I am currently getting personal days under the personnel rules, but I felt it would be best to have them incorporated into the employment agreement. In Section IX, subsection (a) I requested an increase in the automobile allowance from $5,000 to $6,000 per year to cover the increased cost of operating my personal vehicle. 1 also removed the requirement for naming the Town as an additional insured upon advice of my insurance agent, Jay Barrows who indicated that he did not believe it was necessary and that my liability insurance would cover any issues with my operation of my personal vehicle for Town business. Boord of Selectmen Minutes of August 22, 2012 4 Section XIII is new. This is a standard section in employment agreements and provides that a future Board of Selectmen could not arbitrarily reduce salary or benefits of the Town Manager during this contract, simply for the purpose of, trying to force the person to leave the position. In Section XIV, Notices, I added my address in Mansfield. Selectman Aptowitz: would like to see base of $143,000 plus extra 1 k for car allowance. Selectman Dentino is not in favor of having employees carryover vacation from year to year. After further explanation of the contract language Selectman Dentino thanked Mr. Ross for his consistence care of the town. Chairman Kozlowski asked about mileage reimbursement. Mr. Ross is reimbursed for business trips over 100 miles. Chairman Kozlowski is also concerned over the clause that stated that the town manager could leave and only give 1 month notice. However the board decided that would not be a problem. Motion: To execute the proposed contract 143k with lOk stipend from MMED and 6k for car allowance subject to town counsel approval. (Aptowitzl Moran) 5:0 passes Mr. Maloon has not received all the documentation from the developer yet. However the Board of Selectmen briefly discussed the possible motion that the board may take. Selectman Annino is fine with the proposed motion. However he would like to see the diagrams prior to final approval. Also the brick pathway mentioned should be printed asphalt that looks like brick (not real brick). Selectman Dentino would like to see yield signs at the crossing for the users of the bike path. Mr. Ross will consult with public safety for any further plans. Motion: To extend meeting to 11:15pm.
