CLERKS OFFICE Executive Session Min~~UL 2 I AM 9: 58 July 5, 2000 t'1ANSfIELD An Executive Session was held for the purpose t1+~~IT~d strategy regarding the Town Manager's contract. Clerk Wills noted the difference in this version of the contract is that severance pay has been capped at $25,384.68. The Town Manager's salary is proposed at $110,000.00, which includes his services as Manager of the Mansfield Municipal Light Department. Selectman Robinson said he would like to the See the salary separate, not co- mingled. Chairman McCarter stated the wording "just cause" disturbs him, noting the Town Charter says "for cause" and he thinks "just cause" is a higher standard and inconsistent with the Charter. Discussion followed as to what constitutes "just cause." It was also noted that the contract spells out the reasons for termination for just cause-- malfeasance, misfeasance, nonfeasance. Selectmen Amoruso noted he has no problem either way, as long as what we're doing is defined. Salary issues were discussed as to whether to split the salary figure or give the Town Manager a greater raise on the Electric side and less on the Town Manager portion of the salary. Clerk Wills noted he would like to pay him well - $10,000 for Manager of Mansfield Municipal Light Department or give him a raise on the Electric and less on the Town Manager portion. Clerk Wills noted he does not want the Town Manager to be underpaid, stating he does a good job and saveS us money in the long run because he produces well and gets his staff to produce also. He also noted that if he's underpaid, he'll be gone and the Board of Selectmen will end up paying Someone else more who may not produce as much. Selectman Amoruso questioned if the contractual salary amount should indicate that $10,000.00 would be for services as the Manager of the Light Department, noting we may at some point want to change that arrangement. Selectman Donovan noted the Town Manager should be in charge of everything. Selectman Robinson brought up the point that he thought we gave the Town Manager a raise for the next six months. Chairman McCarter replied that was through the end of this contract, with the new contract running from December 1, 2000 to November 30, 2003. This raise would take effect December 1, 2000. Selectman Robinson stated that is not what was voted on at the meeting where the Selectmen agreed to renew his contract. Discussion continued as to the intent of the previous agreement, with Executive Session Minutes of July 5,2000 it being noted this is a new contract that will take effect at the expiration of the current contract. Chairman McCarter stated he believes the Town Manager is doing a good job, but questioned the wisdom of giving him a 15'Yo increase when we've just had a 2 t override. Selectman Donovan said he believes the Town Manger is worth it, noting that all the other Towns they surveyed had an Assistant Town Manager making $40,000 to $50,000, in addition to the Town Manager. Mr. D'Agostino noted an override says we don't want our services cut, but we do want to manage them properly. It was agreed by consensus that severance pay would be capped at $25,384.68. Chairman McCarter proposed an amendment to the contract to state, "This amount includes a $10,000.00 stipend for his services as the Manager of the Mansfield Municipal Light Department."
