At 5:10 pm a motion was made by Vice Chair Trowbridge to enter into executive session.
Motion: To enter into Executive Session for the following reasons and to return to open
session:
1) Pursuant to M.G.L. Ch. 164, Section 47D and M.G.L Ch. 30A, Section 21,
Exemption 2, to conduct contract negotiations with non -union personnel
2) Pursuant to M.G.L. Ch. 164, Section 47D and M.G.L Ch. 30A, Section 21,
Exemption 10, to discuss trade secrets or confidential, competitively -sensitive or
other proprietary information

General Manager Sollecito informed the Board that MMWEC is in the process of negotiating
with Hydro Quebec for a 5 year contract that would (1) allow for contract flow rights worth
$138K per year from November 2021 — November 2025 and (2) to purchase power at a fixed,
firm price of 3.7 cents/kWh. This renewable energy would raise our non -carbon emitting fuel
sources from 54%to 57%.
General Manager Sollecito reviewed the Governor's order to electric and gas utilities to extend
the no shut off for non-payment until November 15`h. The pros and cons were discussed,
The Board discussed extending the he contract terms with GM Sollecito and possible salary
increase.
Motion: To extend General Manager Sollecito's contract to December 2022 and increase`
his salary by 3% retroactive to July 1, 2020.
(Trowbridge/Rhein) Passes 4/1
Roll Call Vote: Schoonveld — no (he agrees with the 3% salary increase but not the
contract extension due to the fact that he would prefer a complete review of the contract at
the scheduled end), Rhein —yes, Trowbridge —yes, DelVecchio —yes and Aptowitz—yes
Motion: Vote to return to open session
